Terms of Service

§ 1. Business relationship XXXL GmbH is a service provider for the use of test customers (mystery shopping) and carries out cross-sector service, branch and advice checks on behalf of companies. With the establishment of a business relationship for the purpose of order execution and / or order advice between XXXL GmbH - the company, represented by the management Mr. Franz Schmitz - hereinafter referred to as XXXL GmbH - and a client - hereinafter referred to as the client - the following general terms apply Terms and conditions as agreed and are also expressly recognized by the client when contacting us and / or correspondence by e-mail on the basis of the XXXL GmbH website.

§ 2 Services

3. XXXL GmbH guarantees the reliable and timely execution of orders with special consideration of the applicable data protection regulations. Internal orders are only made available to the client and XXXL GmbH or their employees involved in the order.

4. The client declares that the order placed does not violate any applicable statutory provisions.

§ 3 preparation of an offer

1. Offers from XXXL GmbH are made free of charge and without obligation and are generally non-binding, unless explicitly stated otherwise.

§ 4 Placement of orders and termination

1. A contract comes into force when the order is placed by the client; No specific form is required for placing an order, but it is usually done in writing. Training Purchase does not offer free pre-test purchases! All written orders with the words test purchase, test advice, trial purchase and training purchase lead to paid services.

2. An order cannot be terminated by the client at any time. (See revocation)

3. In the event of a cancellation 4 weeks before the start of the field time, 50% of the agreed amount is due within 10 days.

§ 5 delivery and payment conditions

1. The company XXXL GmbH undertakes to fulfill all contractually agreed services on time and on time, unless this becomes impossible due to unforeseeable circumstances. These include force majeure, disruption of communication networks, strikes, official orders and delays in information on the part of the client. XXXL GmbH is to be granted a reasonable period of performance in such cases. XXXL GmbH also reserves the right to withdraw from the contract in such a case if the maintenance constitutes unreasonable hardship. A claim for damages by the client against XXXL GmbH is excluded in these cases.

2. The invoices created by XXXL GmbH are due without deduction plus the applicable statutory sales tax within 10 days of the creation date. The test purchase series booked are payable in advance.

§ 6 Limitation of Liability and Exclusion of Liability

1. Claims for damages due to the impossibility of performance, positive breach of contract, negligence when concluding the contract and unlawful acts are excluded both against XXXL GmbH and in relation to their vicarious agents and vicarious agents, unless there is intentional or grossly negligent action.

§ 7 place of jurisdiction

1. The place of jurisdiction for all legal disputes arising from the contractual relationship between XXXL GmbH and its clients is the registered office of XXXL GmbH Aachen. German law applies to all contractual relationships. Final provisions: Should a provision of this contract be or become ineffective or should the contract contain a loophole that needs to be filled, this does not affect the effectiveness of the remaining provisions. The ineffective provision or the loophole is replaced by a provision which comes close to the economic purpose of the agreement and which would have been agreed by the parties if they had known the ineffectiveness of the provision.

Cancellation policy when ordering test purchases

Right of withdrawal You have the right to withdraw from this contract within fourteen days without giving any reason. The cancellation period is fourteen days from the day on which you or a third party named by you ordered the test advice. In order to exercise your right of withdrawal, you must inform us ( XXXL GmbH Nirmer Strasse 138 52080 Aachen [email protected] /) of your decision to withdraw from this contract by means of a clear declaration (e.g. post or email). If you make use of this option, we will send you a confirmation of receipt of such a revocation immediately (for example by email). In order to meet the withdrawal deadline, it is sufficient for you to send your notification of exercising your right of withdrawal before the withdrawal period has expired. Consequences of revocation If you revoke this contract, we have to repay all payments that we have received from you immediately and at the latest within fourteen days from the day on which we received notification of your revocation of this contract. For this repayment, we will use the same means of payment that you used for the original transaction, unless something else was expressly agreed with you. We will withhold the sum of € 200 as a processing fee!
